1. Acceptance of Terms

Yedapo ("Yedapo," "we," "us," or "our"), based in Tel Aviv, Israel, operates the Yedapo website, applications, and related services (collectively, the "Service"). By accessing, browsing, registering for, or otherwise using the Service, or by clicking to accept these Terms where that option is made available, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Subscription Terms, and DMCA & Takedown Policy, each of which is incorporated herein by reference. If you do not agree with any part of these Terms, you must not access or use the Service.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

2. Definitions

• "Content" means all text, summaries, highlights, shownotes, keywords, transcripts, metadata, artwork, and other materials made available through the Service.
• "AI Output" means summaries, highlights, insights, keywords, and other analytical materials generated by automated and artificial-intelligence systems.
• "Source Content" means third-party podcast episodes, videos, and related materials that Yedapo references, links to, or processes to produce AI Output.
• "User Content" means any material you submit, upload, or transmit through the Service.

3. Description of Service

Yedapo is an AI-powered discovery and companion tool that provides AI-generated summaries, highlights, shownotes, keywords, and related analytical materials for publicly available podcast episodes and video content. The Service is designed to help users discover, preview, evaluate, and engage more deeply with media. The Service is provided for informational and personal, non-commercial purposes only and is not a substitute for the original Source Content.

We may, at our sole discretion and without liability to you, add, modify, suspend, or discontinue any feature, functionality, or portion of the Service at any time, with or without notice.

4. Eligibility & Age Requirement

You must be at least 13 years old (or 16 in the European Economic Area, or such greater age as your local law requires) to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement and consent of a parent or legal guardian. By using the Service, you represent and warrant that you meet these requirements and that you are not barred from using the Service under the laws of any applicable jurisdiction, including any applicable export-control or sanctions law (see Section 25).

5. Accounts & Security

Certain features require you to create an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are solely responsible for safeguarding your account credentials and for all activity that occurs under your account, whether or not authorized by you. You must notify us immediately at [email protected] of any unauthorized use or suspected breach of security. We are not liable for any loss or damage arising from your failure to comply with this Section.

6. Subscriptions, Billing & Refunds

The Service offers a free tier and paid subscription plans ("Yedapo Pro"). Paid plans are billed on a recurring basis and renew automatically until cancelled. All billing, auto-renewal, price-change, cancellation, taxation, and refund terms are set out in our Subscription Terms, which are incorporated into and form part of these Terms. By purchasing a paid plan, you agree to the Subscription Terms.

7. AI-Generated Content Disclaimer

AI Output is provided strictly as a supplementary aid to help you preview and decide whether to engage with Source Content. It is not professional advice of any kind (including legal, medical, financial, or investment advice) and must not be relied upon as such. You are solely responsible for independently verifying any information before relying on it, and we strongly encourage you to consult the original Source Content for the complete and authoritative version.

8. Nature of Content; Fair Use & Copyright

Yedapo produces transformative, automatically generated analyses, commentary, and summaries of publicly available podcast and video content for the purposes of discovery, criticism, comment, and reference. Yedapo does not host, store, redistribute, or stream the original audio or video files; those files remain on, and are streamed or linked directly from, the publishers' own servers and third-party platforms. All Source Content remains the exclusive property of its respective creators, publishers, and rights holders, and all corresponding trademarks, service marks, and trade names are the property of their respective owners.

Our use of Source Content is intended to constitute fair use, fair dealing, or an equivalent lawful use under applicable copyright law. If you are a rights holder and believe your rights are being infringed, or if you wish to have your content excluded from the Service, please review and follow our DMCA & Takedown Policy, which also describes a creator opt-out process.

9. Third-Party Content & Services

The Service incorporates, links to, or interoperates with content, data, and services provided by third parties, including but not limited to podcast directories and indexes, public RSS feeds, video platforms and their official APIs, transcription and speech-to-text providers, AI model providers, analytics providers, payment processors, and notification services. Your access to or use of such third-party content and services may be subject to separate terms and policies published by those third parties, and you are responsible for complying with them.

Yedapo does not control, endorse, or assume responsibility for any third-party content, websites, products, or services, and is not liable for their availability, accuracy, legality, or performance. Your dealings with, and reliance on, any third party are solely between you and that third party. Where the Service displays material sourced from a platform such as YouTube, your use of that material is additionally subject to that platform's terms of service.

10. Intellectual Property; License to You

As between you and Yedapo, the Service and all of its components — including its software, design, user interface, logos, branding, text, graphics, compilations, and the arrangement and presentation of Content — are owned by Yedapo or its licensors and are protected by copyright, trademark, and other intellectual-property laws. Subject to your compliance with these Terms, Yedapo grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and AI Output for your own personal, non-commercial purposes.

Except as expressly permitted, you may not copy, reproduce, distribute, republish, sell, license, sublicense, lease, transfer, publicly display, frame, mirror, create derivative works from, or otherwise commercially exploit any part of the Service or AI Output. All rights not expressly granted to you are reserved by Yedapo and its licensors.

11. User Content & Feedback

You retain ownership of any User Content you submit. By submitting User Content, you grant Yedapo a worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, and display that User Content solely as necessary to operate and provide the Service. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate these Terms or any applicable law.

If you provide suggestions, ideas, or other feedback regarding the Service, you grant Yedapo a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback for any purpose, without any obligation or compensation to you.

12. Acceptable Use & Prohibited Conduct

You agree that you will not, and will not permit any third party to:

• Use the Service for any unlawful, fraudulent, infringing, or unauthorized purpose;
• Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks;
• Use any robot, spider, scraper, or other automated means to access, monitor, copy, or bulk-download any portion of the Service or its Content;
• Circumvent, disable, or interfere with rate limits, usage quotas, security features, or access controls;
• Reverse engineer, decompile, or disassemble any part of the Service, except to the extent such restriction is prohibited by applicable law;
• Redistribute, resell, or commercially exploit AI Output, or present it as your own original work;
• Use the Service or AI Output to train, develop, or improve any competing machine-learning model, dataset, or product;
• Upload or transmit any malware, or otherwise disrupt or impair the integrity or performance of the Service;
• Harass, abuse, defame, or harm any person, or infringe the rights of any third party;
• Misrepresent your identity or affiliation, or use the Service in any way that violates applicable export-control or sanctions laws.

We may investigate and take any action we deem appropriate, including removing content and suspending or terminating accounts, for any actual or suspected violation of this Section.

13. Rate Limits & Quotas

The Service enforces usage limits, including rate limiting and daily quotas for AI-powered features such as summary generation and "Ask AI." These limits vary by plan and are subject to change at any time. Exceeding applicable limits may result in temporary or permanent restrictions on your access to certain features. We may also impose limits to protect the integrity, security, and availability of the Service.

14. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, disclose, and protect personal data. You may delete your account and associated data at any time as described in our Data Deletion page.

15. Copyright Complaints & Repeat Infringers

We respond to notices of alleged copyright infringement in accordance with applicable law and our DMCA & Takedown Policy. In appropriate circumstances and at our discretion, we will disable or terminate the accounts of users who are determined to be repeat infringers.

16. Termination & Suspension

You may stop using the Service and delete your account at any time. We may suspend, restrict, or terminate your access to the Service, in whole or in part, at any time and for any reason — including any violation of these Terms — with or without notice and without liability to you. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 7 through 25) will survive.

17. Disclaimer of Warranties

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In that case, such warranties are limited to the minimum scope and duration permitted by applicable law.

18. Limitation of Liability

These limitations form an essential basis of the bargain between you and Yedapo. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you; in such cases, our liability is limited to the maximum extent permitted by applicable law.

19. Indemnification

You agree to defend, indemnify, and hold harmless Yedapo and its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms or any applicable law; or (d) your infringement or violation of any third-party right. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

20. Force Majeure

Yedapo will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, power outages, or the acts or omissions of third-party service providers.

21. Dispute Resolution; Arbitration; Class-Action Waiver

Informal resolution first. Before initiating any formal proceeding, you agree to first contact us at [email protected] and attempt in good faith to resolve the dispute informally. We will attempt to resolve the dispute within sixty (60) days of receiving your written notice.

Binding arbitration. To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to the Service or these Terms that is not resolved informally will be finally settled by binding arbitration seated in Tel Aviv, Israel, conducted in English under the Israeli Arbitration Law, 5728-1968, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver.To the maximum extent permitted by applicable law, you and Yedapo agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

Exceptions. Nothing in this Section prevents either party from (a) seeking injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual-property or proprietary rights, or (b) bringing an individual claim in a small-claims court. If any portion of this Section is found unenforceable, the remainder will remain in effect, except that if the class-action waiver is found unenforceable, this entire arbitration provision will be void. Where mandatory local consumer-protection law grants you non-waivable rights (for example, certain EEA consumer protections), nothing in this Section limits those rights.

22. Governing Law & Jurisdiction

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. Subject to the arbitration provision in Section 21, the competent courts located in Tel Aviv, Israel will have exclusive jurisdiction, and you consent to their personal jurisdiction and venue. This choice of law does not deprive you of the protection of mandatory consumer-protection provisions of the law of your country of habitual residence where those protections apply.

23. Changes to the Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means and update the "Last updated" date above. Changes become effective when posted unless stated otherwise. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

24. Assignment

You may not assign or transfer these Terms, or any of your rights or obligations under them, without our prior written consent. We may freely assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.

25. Export Controls & Sanctions

You represent that you are not located in, and will not use the Service from, any country or region subject to comprehensive trade sanctions, and that you are not on any government list of prohibited or restricted parties. You agree to comply with all applicable export-control and sanctions laws in your use of the Service.

26. General Provisions

• Entire Agreement. These Terms, together with the Privacy Policy, Subscription Terms, and DMCA & Takedown Policy, constitute the entire agreement between you and Yedapo regarding the Service and supersede all prior agreements and understandings.
• Severability. If any provision is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
• No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• No Agency. No partnership, joint venture, employment, or agency relationship is created by these Terms.
• Notices. We may provide notices to you through the Service or by email. You may send notices to us at the addresses below.
• Language. These Terms are drafted in English, which controls in the event of any conflict with a translation.
